EA’s $55 Billion Acquisition Expected to Close August 4th
On July 30th, surprising news broke: the long-anticipated acquisition is expected to close on or about August 4, 2026. As a result, EA will transition to a fully private company. Additionally, the announcement came with a Form 8-K filed with the United States Securities and Exchange Commission on the same day. Furthermore, this news comes quickly after the European Commission approved the acquisition.
What is an 8-K
An 8-K is a report that public companies must file to disclose significant events. This includes major announcements, changes in corporate leadership, bankruptcies, mergers, and acquisitions. 8-Ks must be submitted within four business days after a “triggering event” occurs. This ensures that shareholders and the stock market receive timely information. In this instance, EA used its Form 8-K to notify investors that all required regulatory approvals have been obtained and that the company expects the merger with the investor consortium to close on or about August 4, 2026. What Does this Mean for Simmers?
We’re still awaiting updates, and many Simmers are eager for that answer to the big question… “what will change?” The acquisition was initially announced on September 29, 2025, but the regulatory approvals and closing process have progressed rapidly over the past few weeks. If the transaction closes as expected, EA will transition into a privately held company following the merger. The buyout is reportedly valued at $ 55 billion, with buyers including Silver Lake, Affinity Partners, and Saudi Arabia’s Public Investment Fund (PIF).
According to EA’s announcement from September 29, 2025, once the acquisition is completed, EA’s shares will no longer trade publicly on the NASDAQ, allowing the company to operate as a privately held business under its new owners. It is also said that Andrew Wilson is expected to remain CEO, and EA will continue to be headquartered in Redwood City, California.
